About The Role

The Associate General Counsel (AGC) is the top legal advisor for FNBC, reports to the President & CEO, and oversees the Corporate Secretary and Legal Counsel. This role provides strategic legal advice to the President, Senior Management, Board Chair and Board of Governors, ensuring the Bank’s governance, policies, and actions are compliant with applicable legislation and align with best practices in Banking. FNBC is headquartered in Saskatoon, SK; however, this permanent, full-time role can also be performed remotely.

Here's what you will be doing:
  • Provide strategic and expert legal advice to the President, Senior Leadership Team, and Board of Governors.

  • Revise, draft, interpret, and negotiate the company’s contracts (customer, supplier, employee) and various contract clauses, as well as other legal documents.

  • Ensure that the company's everyday activities comply with applicable laws, regulations, guidelines, and company policies.

  • Assist the Privacy Officer concerning the interpretation and application of federal and provincial legislation relating to the collection, use, disclosure, and retention of personal information.

  • Provide legal advice and assistance with requests for proposals and bids, including federal, provincial, and local bids.

  • Manage external counsel and oversee litigation strategy.

  • Develop and manage governance and administrative policies to ensure compliance and alignment with best practices.

  • Serve as a trusted advisor on legal matters, conflict resolution, and strategic decisions.

  • Oversee records management and establish data governance standards.


Qualifications Required
First Year Deliverables:

Key areas in which the successful candidate will be measured include:

  1. Build strong relationships with the Board to foster trust and collaboration.

  2. Conduct a comprehensive assessment of the legal team and its functions to identify strengths and areas for improvement.

  3. Ensure alignment of the legal strategy with the organization’s overall strategic plan.

Skills:

These include:

  • Post-secondary education in business is preferred

  • Previous experience working in a financial institution

  • Four (4) years’ experience working in a lending or lending support role

  • Strong analytical skills

  • Proficient in learning new software applications

  • Able to prioritize daily workload

  • Confident self-starter able to work independently

  • Acceptable criminal record and credit checks

  • A strong team player

Key Qualifications

The ideal candidate will bring the following skills and experiences:

  • A Law Degree (LLB or JD) from a recognized institution is required.

  • Licensed to practice law in Canada and in good standing with the applicable Law Society.

  • Minimum of 5 years of progressive legal experience, with demonstrated expertise in administrative, public or contract law, and governance.

  • Experience leading, mentoring, or managing legal professionals, including external counsel.

  • Experience with policy development.
